Scope of Engagement

This document (“Agreement”) outlines the fundamental terms governing the cooperation between EdropTech and our partners (“Client”). By initiating an OEM/ODM project or issuing a Purchase Order, the Client acknowledges and agrees to these terms.
1.1 Core Technologies
Our collaboration encompasses the development and manufacturing of custom hardware and software solutions utilizing, but not limited to, the following core technologies:

- LoRaWAN / LPWAN: For long-range environmental monitoring and smart agriculture.
OEM & ODM Manufacturing
2.1 Turnkey Product Development
Dall'ideazione alla produzione, our team combines engineering excellence with user-focused design. For ODM (Original Design Manufacturer) progetti, EdropTech assumes responsibility for industrial design, disposizione del circuito stampato, sviluppo del firmware, e produzione di massa. For OEM (Original Equipment Manufacturer) agreements, we manufacture strictly according to the Client’s precise specifications.
2.2 Prototyping and Validation
Prima della produzione di massa, a prototyping phase is mandatory. The Client must sign off on the “Golden Sample” (final functional prototype). Any modifications requested after prototype approval may result in timeline extensions and additional engineering costs.
IP & Privacy
3.1 Mutual Non-Disclosure
Both parties agree to strictly protect all Confidential Information, including proprietary hardware schematics, embedded firmware source code, SaaS algorithms, and client business models. A standard Mutual Non-Disclosure Agreement (MNDA) shall be executed prior to any technical exchange.
3.2 Intellectual Property Rights
Unless explicitly transferred via a separate “IP Assignment Agreement,” EdropTech retains ownership of pre-existing background technology, underlying frameworks, and generic communication protocols. The Client retains all rights to their custom exterior design, marchio, and specific application logic developed under a paid NRE (Ingegneria non ricorrente) contrarre.

Lead Times & Logistica
5.1 Production Timelines
Standard lead times for mass production typically range from 6 A 8 weeks following prototype approval and receipt of the initial deposit. Complex custom hardware utilizing scarce components (PER ESEMPIO., specific Cellular modules) may require extended lead times, which will be communicated transparently.
5.2 Shipping & Risk of Loss
Unless otherwise negotiated, all goods are shipped under Incoterms 2020 EXW or FCA from our manufacturing facilities. The Client is responsible for coordinating freight forwarding, customs clearance, and associated import duties for global distribution.

6.1 Hardware Warranty
EdropTech stands behind the reliability of our solutions. We provide a standard 12 to 24-month limited warranty against manufacturing defects under normal use. Battery modules and consumable elements are covered under separate, specific warranty terms.
6.2 Technical Support
We prioritize continuous innovation and client success. Our dedicated analysts and engineering teams provide 24/7 market analysis and technical support. From troubleshooting firmware OTA (Over-The-Air) updates to resolving network integration issues, we offer timely insights and recommendations whenever you need them.

IP ownership is structured to protect both parties. Generally, EdropTech retains the rights to underlying generic technologies and hardware architectures, while the Client retains full ownership of their unique exterior design, marchio, and specific application logic developed exclusively for them. Precise terms are defined in the project contract.
